- Parties
This End User License Agreement (“Agreement”) governs the use of the internal software application (“the App”) developed and operated by Synergy Multimedia LLC (“we,” “us,” or “our”), doing business as Motion Shading, located in Atlanta, Georgia.
- License grant
Synergy Multimedia LLC grants a limited, non-exclusive, non-transferable license to use the App solely for internal business operations of Synergy Multimedia LLC. This license is restricted to authorized employees and contractors of Synergy Multimedia LLC.
- Restrictions
The App is for internal use only. You may not distribute, sublicense, sell, resell, transfer, assign, or otherwise make the App available to any third party. You may not use the App to process data on behalf of any party other than Synergy Multimedia LLC.
- Ownership
Synergy Multimedia LLC retains all rights, title, and interest in and to the App. This Agreement does not grant you any ownership rights in the App.
- Disclaimer of warranties
The App is provided “as is” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Synergy Multimedia LLC does not warrant that the App will operate uninterrupted or error-free.
- Limitation of liability
To the maximum extent permitted by applicable law, Synergy Multimedia LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use the App.
- Termination
Synergy Multimedia LLC may terminate this Agreement and access to the App at any time, with or without notice, at its sole discretion. Upon termination, you must cease all use of the App.
- Governing law
This Agreement shall be governed by the laws of the State of Georgia, without regard to its conflict of law provisions.
